UBO Registry Annual Confirmation Requirement 2025

The Department of the Registrar of Companies and Intellectual Property has announced the annual obligation for entities registered in Cyprus to confirm the details of their Ultimate Beneficial Owners (UBOs) for 2025.
This confirmation applies to all entities incorporated or registered under the Companies Law, Cap. 113, including European Companies (SE) and Partnerships. The confirmation period runs from 1 October 2025 to 31 December 2025 and is conducted through the Beneficial Owners Registry System on the Ariadni / Gov.cy portal.
Entities Required to Comply
The following entities are subject to the annual confirmation requirement:

Compliance Process
1. Review and Confirm
Verify that the UBO details recorded in the Beneficial Owners Registry remain accurate and up to date. Confirmation must be submitted electronically via the Ariadni portal.
2. Update (if applicable)
If there are changes to the beneficial ownership structure, these should be filed first, followed by the confirmation of details within the confirmation window.
3. Maintain Records
Keep your UBO documentation and supporting evidence readily available, as the Registrar may request verification or clarification at any time.

Penalties for Non-Compliance
Failure to complete the annual UBO confirmation by 31 December 2025 will result in financial penalties imposed by the Registrar of Companies:

€100 fixed fine on the first day of non-compliance

€50 per day for continued default, up to a maximum of €5,000 per entity
Directors and officers are generally not fined individually under the revised framework unless deliberate negligence is proven.
Practical Considerations

Only one confirmation submission is permitted each calendar year (between 1 October and 31 December).

If a change occurs after the annual confirmation, it does not require re-confirmation within the same year.

Entities must ensure their registered office address is correct and up to date, as important notifications from the Registrar are sent there.
